END-USER LICENSE AGREEMENT (EULA)

This End-User License Agreement (“Agreement”) is a legally binding agreement between you (“User” or “you”) and Adaptaphoria (“Company,” “we,” “us,” or “our”) governing your access to and use of Adaptaphoria’s internal Enterprise Resource Planning (ERP) software application (“Application”).

By accessing or using the Application, you agree to be bound by this Agreement. If you do not agree, do not access or use the Application.

Purpose and Scope
The Application is an internal business tool developed solely for use by authorized employees, contractors, and agents of Adaptaphoria. The Application is not intended for public use, resale, sublicensing, or commercial distribution to third parties.
License Grant
Subject to this Agreement, Adaptaphoria grants you a limited, non-exclusive, non-transferable, and revocable license to access and use the Application solely for internal business operations of Adaptaphoria.
Restrictions
You agree not to:

Copy, modify, or create derivative works of the Application
Reverse engineer, decompile, or attempt to extract source code
Use the Application for any unlawful purpose
Provide access to unauthorized individuals or entities

Ownership
The Application and all related intellectual property rights are owned by Adaptaphoria. This Agreement does not grant you any ownership rights.
Third-Party Services
The Application may integrate with third-party services, including Intuit QuickBooks. Your use of such services is subject to the applicable third-party terms and policies.
Data Usage
The Application processes business, financial, and operational data for internal accounting and ERP purposes only. All data remains the property of Adaptaphoria.
Termination
Adaptaphoria may suspend or terminate access to the Application at any time without notice for violation of this Agreement or for operational or security reasons.
Disclaimer of Warranties
The Application is provided “AS IS” without warranties of any kind, express or implied.
Limitation of Liability
To the maximum extent permitted by law, Adaptaphoria shall not be liable for any indirect, incidental, or consequential damages arising from the use or inability to use the Application.
Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction in which Adaptaphoria is established, without regard to conflict of law principles.
